Before you continue, please read the information below, make sure that you understand all requirements, and check all boxes before proceeding:
1. Nature of the Relationship
The Contractor acknowledges and agrees that they are engaged as an independent contractor and not as an employee, partner, representative, or agent of the Company. Nothing in this Agreement shall be construed to create an employment relationship or to obligate the Company to provide employee benefits of any kind, including but not limited to vacation, insurance, compensation, or any other employment-related benefit.
2. Tax Responsibility
The Contractor shall be solely responsible for the payment of all federal, state, and local taxes, including income taxes and self-employment taxes, arising from payments made under this Agreement. The Company will not withhold or remit any taxes on behalf of the Contractor.
3. Compensation
The Contractor shall be compensated on an hourly or per-project basis, as mutually agreed upon by the parties. Payment shall be made upon receipt of an invoice or service statement issued by the Contractor for the work performed.
4. Tools and Materials
The Contractor shall provide all tools, equipment, and materials necessary to perform the work, unless otherwise expressly agreed in writing by the parties.
5. Legal Compliance
The Contractor agrees to comply with all applicable federal, state, and local laws, regulations, and ordinances related to the performance of the services, including but not limited to workplace safety and any other relevant legal requirements.
6. Non-Exclusivity
The Contractor is free to provide services to other companies or individuals, provided that such activities do not interfere with the timely and satisfactory performance of the Contractor's obligations to ACT Telecom, LLC.
7. Term and Termination
This Agreement shall take effect on the date agreed upon by both parties and shall remain in force until terminated by either party. Either party may terminate this Agreement at any time by providing at least seven (7) days' prior written notice to the other party.
8. Entire Agreement
This document constitutes the entire agreement between the parties and supersedes any prior agreements, understandings, or communications, whether oral or written.
